What We Do

Showcase Designs ("we," "us") provides one-time SEO reviews, SEO launch pages, ongoing search engine optimization (SEO), and separately scoped custom website services for businesses and service companies.

Visiting this website, submitting a form, requesting a free review, or discussing a possible project does not create a client relationship. A client relationship begins only after you accept a written proposal, both parties sign the applicable services agreement, and any required initial payment is received.

These terms provide general service policies. The accepted proposal and signed services agreement define the specific scope, schedule, fees, and obligations for an engagement. If those documents conflict with this page, the signed services agreement controls, followed by the accepted proposal.

Scope of Services

Our current service paths are:

Multiple locations, ecommerce, national campaigns, major content production, custom development, paid media, third-party fees, and work not expressly listed are outside the standard offers unless included in writing. The accepted proposal and signed services agreement always control the final deliverables.

Payment Terms

Unless the accepted proposal states a different schedule:

Approved third-party costs, taxes, and out-of-scope work are additional unless the proposal expressly includes them. We accept payment by the method stated on the invoice. Late or failed payments may pause work, access, delivery, or launch until the balance is resolved.

Ownership & Intellectual Property

You retain ownership of materials you provide. After all amounts for the applicable work are paid, you own the final client-specific deliverables that the accepted proposal identifies as owned deliverables, including final reports, approved copy, and final website files created specifically for you.

To the extent retained Showcase Designs material is embedded in a paid final deliverable, you receive a perpetual, non-exclusive license to use that material as part of the delivered work for your business. Third-party assets, fonts, plugins, platforms, and software remain governed by their own licenses and terms.

Public Use and Portfolio Permission

We will obtain your written permission before publicly using your business name, logo, project materials, testimonial, performance data, or results in a portfolio, case study, social post, or marketing material. We will not state or imply a client relationship without permission. Permission must cover the specific planned public use.

Client Responsibilities

To keep your project on track, we need you to:

Revisions and Out-of-Scope Work

The accepted proposal defines included revisions and work. Additional revisions, requests, locations, pages, content, development, meetings, or support require written approval and will be billed at the out-of-scope rate stated in the proposal or an approved change order before the additional work begins.

Limitation of Liability

We perform website and SEO work, but we cannot guarantee specific business results such as revenue, leads, traffic, indexing, or search rankings. Search engines, competitors, markets, and client-controlled business signals change over time.

To the maximum extent permitted by law, Showcase Designs' total liability for any claim arising from our services is limited to the amount you paid us for the specific service in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

Termination

One-time and custom projects: Cancellation, refunds, work-in-progress delivery, and final amounts due follow the accepted proposal and signed services agreement. You remain responsible for approved work performed and approved third-party costs incurred before termination.

Local Growth and Competitive Growth: The Foundation Sprint is a separate initial phase. After it, the monthly retainer has an initial term of three consecutive months. A cancellation notice given during that initial term takes effect no earlier than the end of the initial term, and all three monthly payments remain due unless the signed services agreement expressly states otherwise.

After the initial retainer term: The service continues month to month. Either party may end it with 30 days' written notice, and fees remain due through the effective termination date.

Termination by us: We may pause or terminate an engagement for nonpayment, unlawful or abusive conduct, material breach, missing required access, or a working relationship that cannot reasonably continue. Any notice, cure period, and delivery obligations follow the signed services agreement.

Warranties & Disclaimers

We warrant that our work will be performed with professional skill and care. Beyond that, our services are provided "as is." We don't warrant that your website will be error-free at all times, or that SEO results will hit specific benchmarks.

Indemnification

You agree to hold us harmless from claims arising from content you provide, your use of the website, or any violation of these terms on your part. Similarly, we'll hold you harmless from claims arising from our negligence or breach of these terms.

Governing Law

These terms are governed by the laws of the State of Arizona. Any disputes will be resolved in the courts of Pima County, Arizona.

Changes to These Terms

We may update these terms from time to time. The updated version will be posted here with a new date. For active clients, we'll notify you of material changes via email.
